1. Grant of License
IV-Lead grants the Licensee a non-exclusive, non-transferable license to install and use the Theme within HubSpot accounts owned or managed by the Licensee, to build and publish websites and landing pages. One purchase licenses use of the Theme per the terms of the HubSpot Template Marketplace listing under which it was acquired.
2. Permitted Use
- Install the Theme in HubSpot accounts you own or manage on behalf of a client.
- Edit theme settings, content, and pages built with the Theme using HubSpot's native editing tools.
- Modify the Theme's source files for your own (or your client's) use.
3. Restrictions
The Licensee may not:
- Resell, redistribute, sublicense, lease, or share the Theme or its source files, in original or modified form, as a standalone product or as part of a competing theme, template pack, or marketplace listing.
- Claim authorship of the Theme or remove copyright notices from the source files.
- Use the Theme to create a derivative theme for sale or free distribution.
4. Modifications and Updates
The Theme receives updates through the HubSpot Template Marketplace. Direct edits to the Theme's source files create a fork: HubSpot will no longer apply Marketplace updates to modified copies, and IV-Lead support does not cover code-level modifications. Content and theme-settings changes made through HubSpot's native tools remain update-safe.
5. Third-Party Assets
Fonts, icons, and demo imagery bundled with the Theme are either original work or licensed for redistribution within this Theme. Demo content is illustrative; replace it with your own content before publishing.
6. Support
Support is provided per the support terms stated on the Marketplace listing and at the support resources URL listed there. Support covers the unmodified Theme and its documented features.
7. Warranty Disclaimer
The Theme is provided "as is" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. IV-Lead does not warrant uninterrupted or error-free operation of the Theme on the HubSpot platform, whose features and requirements may change over time.
8. Limitation of Liability
To the maximum extent permitted by law, IV-Lead shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of, or inability to use, the Theme. IV-Lead's total liability shall not exceed the amount paid by the Licensee for the Theme.
9. Termination
This license terminates automatically if the Licensee breaches its terms. Upon termination, the Licensee must cease use and delete all copies of the Theme's source files.
10. Governing Law
This agreement is governed by the laws of the State of Israel, without regard to conflict-of-law principles.
